1. Acceptance of Terms

By accessing or using YAS Marketplace, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our platform.

We may modify these Terms at any time. Continued use of the platform after changes constitutes acceptance of the modified Terms. We will notify you of material changes via email or platform notification.

2. Definitions

• "Platform" refers to the YAS Marketplace website, mobile applications, and related services.
• "User" refers to any individual or entity that accesses or uses the Platform.
• "Buyer" refers to a User who purchases products through the Platform.
• "Vendor" refers to a User who sells products through the Platform.
• "Products" refers to agricultural goods, equipment, and related items listed on the Platform.

3. Account Registration

Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Platform. By registering, you represent that you meet these requirements.

Account Responsibilities

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account
• Maintain only one active account per person/business

Verification

We may require verification of your identity, business registration, or other documents. Failure to provide requested verification may result in account suspension or termination.

4. Buyer Terms

Purchasing

• Orders are binding once confirmed and paid for
• Prices are as displayed at the time of purchase
• You agree to pay all applicable fees, including shipping
• Product availability is not guaranteed until order confirmation

Escrow Protection

Payments are held in escrow until you confirm receipt of products in satisfactory condition. You have 48 hours after delivery to report issues. After this period, funds are released to the Vendor.

Returns & Refunds

• Returns are subject to individual Vendor policies
• Refunds are processed through the original payment method
• Disputes must be raised within 48 hours of delivery
• We reserve the right to mediate disputes between Buyers and Vendors

5. Vendor Terms

Listing Requirements

• Products must be accurately described with clear images
• Prices must include all mandatory fees and charges
• Stock availability must be kept current
• Products must comply with all applicable laws and regulations
• Only agricultural and related products are permitted

Order Fulfillment

• Orders must be processed within 24 hours of receipt
• Products must be shipped within stated processing times
• Accurate tracking information must be provided
• Products must match their descriptions

Quality Standards

Vendors must maintain high quality standards. Consistent negative reviews, order cancellations, or customer complaints may result in account suspension or termination.

6. Payments & Fees

Platform Fees

YAS Marketplace charges a commission on successful sales. Current fee schedules are available in your Vendor dashboard. We reserve the right to modify fees with 30 days' notice.

Payment Processing

• Payments are processed through secure third-party providers
• Supported methods include bank transfer, cards, and mobile money
• Vendor payouts are processed within 2-5 business days after release
• Minimum payout thresholds may apply

Taxes

Users are responsible for all applicable taxes. Vendors are responsible for collecting and remitting any required sales taxes.

7. Prohibited Activities

You may not:

• List prohibited or illegal products
• Provide false or misleading information
• Manipulate prices, reviews, or search rankings
• Circumvent our fee structure or payment system
• Engage in fraud, money laundering, or other illegal activities
• Harass or harm other users
• Attempt to gain unauthorized access to our systems
• Use automated tools to scrape or access the Platform
• Interfere with the proper operation of the Platform

8. Intellectual Property

Platform Content

All content on the Platform, including logos, designs, and software, is owned by YAS Marketplace or our licensors. You may not use, copy, or distribute this content without permission.

User Content

You retain ownership of content you submit. By posting content, you grant us a non-exclusive, royalty-free license to use, display, and distribute it on the Platform.

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE:

• Uninterrupted or error-free service
• The accuracy of product listings
• The quality of products sold by Vendors
• That transactions will be completed successfully

We are a marketplace platform and are not a party to transactions between Buyers and Vendors.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YAS MARKETPLACE SHALL NOT BE LIABLE FOR:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages exceeding the fees paid by you in the past 12 months
• Actions or omissions of other users

11. Indemnification

You agree to indemnify and hold harmless YAS Marketplace, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Products you list or sell (for Vendors)

12. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. Upon termination:

• Your access to the Platform will be revoked
• Pending transactions may be cancelled
• Outstanding fees remain due
• Vendor funds will be released according to our policies

You may close your account at any time through your account settings or by contacting support.

13. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the courts of Oyo State, Nigeria. You agree to submit to the personal jurisdiction of these courts.
